Welcome to Chunker, Inc. ("Chunker," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our platform, including our website, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Nature of the Service

Chunker operates a technology platform that facilitates connections between users seeking and offering short-term licenses of commercial warehouse space ("Spaces"). Chunker is not a real estate broker, agent, insurer, or contracting party and does not participate in agreements between users.

2. Eligibility and Compliance

You must be at least 18 years old and capable of entering into binding contracts. You agree to comply with all applicable laws including real estate, zoning, licensing, and tax requirements.

3. Accounts and Security

You agree to provide accurate information and maintain its accuracy. You are responsible for safeguarding your account credentials and all activities under your account.

4. Marketplace Conduct and Enforcement

Chunker reserves the right to monitor, review, and take action against accounts or transactions that violate these Terms or pose risk to the platform. Actions may include removal of listings, account suspension, freezing of funds, or reporting to authorities.

5. Risk Allocation and Responsibilities

Chunker does not act as an agent or fiduciary. Users are solely responsible for goods, compliance, insurance, and due diligence. Chunker is not responsible for loss, damage, or legality of stored goods.

6. Payments, Fees, and Transactions

Chunker earns revenue through transaction fees and software-related fees. Fees apply to transactions arising from platform introductions, including off-platform transactions within 24 months. Payments are processed via third parties, and users agree to comply with their terms. Chunker may withhold funds for fraud or compliance reasons.

7. User Content

You retain ownership of your content but grant Chunker a worldwide, royalty-free license to use, display, and distribute it for operation and improvement of the Service.

8. Data and Privacy

Use of the Service is subject to the Chunker Privacy Policy. Chunker may process data for operational, security, and improvement purposes.

9. Third-Party Services

The Service may include integrations with third-party providers. Chunker is not responsible for their actions or performance.

10. Service Availability and Force Majeure

The Service may be interrupted or unavailable. Chunker is not liable for failures due to events beyond its control including outages, disasters, or third-party failures.

11. Suspension and Termination

Chunker may suspend or terminate access for violations or business reasons. Upon termination, access ceases but payment obligations remain.

12. Electronic Communications

You agree that electronic records and signatures are valid and legally binding.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

14. Limitation of Liability

Chunker's total liability is limited to the greater of fees paid in the previous 12 months or $100.

15. Indemnification

You agree to indemnify Chunker against claims arising from your use of the Service or violation of these Terms.

16. Dispute Resolution

Disputes will be resolved through binding arbitration on an individual basis.

17. Governing Law

These Terms are governed by the laws of the State of Utah.

18. Miscellaneous

These Terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect.
